Parties:
- Party A: FindTourGuide platform, operated by Shenzhen Xingbituo Technology Co., Ltd. ("Party A")
- Party B: Travel Partner registered on the FindTourGuide platform ("Party B")
This Agreement is entered into on the basis of equality, free will, and mutual benefit, and governs the use of inquiry tools and related technical services provided by Party A to Party B.
1. Definitions
1.1 Platform: Refers to the website FindTourGuide.com operated by Party A, including all associated subdomains, mobile applications, and backend management systems.
1.2 Inquiry Tool: A SaaS module powered by data and algorithms that connects travelers with Party B by filtering and forwarding potential leads.
2. Partnership Model
2.1 Upon submitting company information through the “List Your Company” portal, Party B is deemed to have accepted this Agreement and becomes a registered partner on the platform.
2.2 Party A provides only technical tools and listing functionality and is not involved in the execution, delivery, or after-sale services of any travel agreements made between Party B and the traveler.
3. Service Fees and Billing Standards
3.1 Billing Principle: Party B shall pay for actual user inquiries generated through the inquiry tool. These fees are decoupled from booking outcomes: payment is required regardless of whether the user eventually books any services or not.
3.2 Billing Method: Party B must define pricing within the backend “Payment Setting” interface for the following types of inquiries:
3.2.1 Inquiry Source: Company profile page on the platform
Billing Formula: Fee = A USD × Trip Days
Notes: A is set by Party B (minimum 0.3 USD)
3.2.2 Inquiry Source: Platform homepage (max 5 recipients)
Billing Formula: Fee = A USD × Trip Days / N
Notes: N = number of recipients (≤ 5)
3.3 Fee Adjustment: Party B may update the value of A at any time through the backend.
3.3.1 By configuring a higher A value in the backend system, Party B can optimize position in the platform's search results. Such optimization is expected to improve Party B's visibility and potentially result in a greater number of user inquiries.
3.4 Fee Cap: Maximum charge per inquiry is 10 USD.
4. Payment and Settlement
4.1 Party B may top up their balance using the payment methods provided on the platform. Fees for inquiries will be deducted automatically based on the standards set out in Article 3. No new inquiries will be pushed when the balance is insufficient.
5. Rights and Responsibilities
5.1 Party A shall:
- Ensure platform availability 24/7 (excluding maintenance);
- Provide Party B with a backend account to manage company and tour information;
- Push relevant traveler inquiries to Party B;
- Store all inquiry and fee records for Party B’s reference.
5.2 Party B shall:
- Provide accurate, legal, and complete company and tour information;
- Respond to inquiries in a timely and accurate manner;
- Ensure full copyright ownership of all uploaded content (images, videos, etc.). Any copyright disputes shall be borne by Party B;
- Fulfill any contracts signed with travelers and handle after-sales or dispute matters independently.
6. Intellectual Property and Use of Information
6.1 Party A retains full ownership of the platform’s interface, algorithms, and databases. Party B shall not engage in reverse engineering, duplication, or unauthorized use.
6.2 Both parties may use the other party’s name and logo for promotional purposes within legal limits. This Agreement constitutes written consent.
7. Confidentiality
7.1 Each party must keep all commercial, technical, and client data acquired during the partnership confidential and shall not disclose such information to any third party without written consent unless required by law.
8. Term and Termination
8.1 This Agreement becomes effective once Party B completes registration and remains valid unless either party provides written notice of termination 30 days in advance.
8.2 If either party seriously breaches this Agreement, the non-breaching party may terminate the cooperation immediately and pursue legal remedies.
9. Dispute Resolution
9.1 Any dispute arising from the performance of this Agreement shall be resolved through friendly negotiation. If no resolution is reached, either party may submit the matter to a competent court for adjudication.
10. Miscellaneous
10.1 This Agreement is executed in electronic form via a click‑wrap mechanism. Both parties acknowledge that the electronic version is legally equivalent to a physically signed agreement.
